Please read these Broker-Shipper / Broker-Carrier Terms and Conditions carefully. By booking freight with Heartbeat Freight, you agree to be bound by the terms outlined below.
Effective Date: July 2026
These Brokerage Terms and Conditions govern the property brokerage services provided by Heartbeat Freight ("Broker"), a registered property broker licensed by the FMCSA, to its Shippers, Customers, and Carriers. By requesting services from or partnering with Heartbeat Freight via www.heartbeatfreight.com, you acknowledge and agree to the following terms.
Heartbeat Freight is a licensed freight broker operating under MC numbers and FMCSA regulations. Broker acts solely as an intermediary between Shippers (or Customers) and independent third-party Motor Carriers ("Carriers") who physically perform the transportation services. Heartbeat Freight does not own trucks, trailers, or transport cargo directly.
The Shipper or Carrier must list Heartbeat Freight as the broker on all Bills of Lading. If Broker’s name is inadvertently omitted or if the Carrier is mistakenly designated as the carrier on the BOL, the terms of this Agreement will still apply and supersede any conflicting terms contained in the BOL itself.
Because Heartbeat Freight does not physically transport the freight, Broker is not liable for cargo loss, damage, or delay. Liability for cargo claims rests solely with the Motor Carrier performing the service, pursuant to the Carmack Amendment (49 U.S.C. § 14706). Broker will assist the Customer in facilitating claims with the Carrier, provided that claims are submitted in writing within nine (9) months of delivery.
Shipper agrees to pay Heartbeat Freight within agreed payment terms (typically net 30 days) from the invoice date. Rates are based on information provided at the time of booking. Additional charges, including but not limited to detention, layover, lumper fees, and truck-ordered-not-used (TONU), will be invoiced if incurred during transit.
Broker utilizes modern compliance systems to ensure all authorized Carriers possess valid DOT authority and required insurance levels ($1,000,000 Auto Liability and $100,000 Cargo Liability minimums). Carriers act strictly as independent contractors and retain full operational control over their equipment, personnel, and routing choices.
These Terms and Conditions shall be governed by and construed in accordance with federal laws regulating interstate commerce and the laws of the State of Texas, without regard to its conflict of law principles. Any legal proceedings arising out of this agreement shall be brought exclusively in the courts located in Austin, Texas.
